Legal Executive
JOB DESCRIPTION
1. Legal advice and support
- Analyze legal issues: Evaluate situations or events that arise in the company to identify legal risks.
- Advise departments: Provide legal advice and solutions to departments when requested or when legal issues arise.
- Conduct legal research: Update and learn new legal regulations to accurately advise the Board of Directors and departments.
2. Draft, review, and legally assess contracts
- Draft contracts: Develop sample labor contracts, commercial contracts, and other agreements suitable for the company’s operations.
- Check and adjust contracts: Review contracts from partners or departments within the company to detect risky terms and propose adjustments.
- Contract storage and management: Establish a system for storing and managing contracts and legal documents to ensure easy access and management of legal data.
3. Legal monitoring and compliance
- Develop a legal compliance process: Establish internal procedures and regulations so that departments in the company can easily comply with legal regulations.
- Periodic inspections: Conduct internal inspections on a schedule to ensure that departments comply with legal regulations and procedures.
- Compliance reporting: Create periodic reports on the company’s legal compliance status for the Board of Directors, and propose corrective measures when violations are detected
4. Legal-related internal training and support
- Develop training materials: Develop training materials on legal regulations and internal legal-related procedures for employees.
- Organize training courses: Schedule and organize training sessions on laws and new regulations for employees and departments.
- Legal support: Directly answer legal questions from employees
5. Manage shareholder relations
- Draft and manage shareholder-related documents such as meeting minutes and resolutions of the general meeting of shareholders.
- Coordinate the organization of annual and extraordinary general meetings of shareholders, ensuring compliance with legal procedures.
- Handle and resolve requests, questions or disputes arising from shareholder rights.
6. Manage compliance with corporate governance regulations
- Advise the Board of Directors and the Board of Management on responsibilities and powers according to the provisions of law and the Company’s Charter.
- Control internal governance documents such as the Board of Directors’ Regulations and the Operating Regulations.
- Assist the Board of Supervisors and the Board of Directors in detecting and controlling legal risks, especially in important transactions.
7. Dispute and litigation handling
- Handle disputes between shareholders and the company related to share rights, voting rights and other economic interests.
- Represent the company in lawsuits or coordinate with outside lawyers to resolve complex legal disputes.
- Prepare reports to the Board of Directors on the status and progress of resolving legal disputes to provide appropriate solutions.
REQUIREMENTS
- University graduate majoring in Law or related fields 3 years or more of experience in the field of corporate law, priority given to those with experience in a joint stock company with over 100 employees
- Good English reading and communication skills
- Priority given to those born in 1992-1997, female is an advantage
- Good communication and presentation skills
- Ability to analyze legal issues.
- Ability to work independently and under pressure
